1. User’s Acknowledgment and Acceptance of Terms

Wikman Ventures, LLC (referred to as “us” or “we”) provides the www.TransPinayDating.com site and application for mobile devices, if any, and various related services (together referred to as this “Site”) subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Use”), as well as any other written agreement between us (or your company).

When using particular services or materials on this Site, users shall be subject to any posted guidelines or rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use. Any user of this site shall be referred to as “you” or “user.”

BY COMPLETING THE REGISTRATION PROCESS AND/OR USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE, PLEASE EXIT THE SITE NOW.

YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THIS SITE, IS TO STOP USING THE SITE. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS SITE.

You further agree that you are over the age of eighteen (18) or the age of majority where you live.

These Terms of Use are effective as of December 1, 2025. We reserve the right to change these Terms of Use from time to time without notice to you. Your continued use of this Site after modifications constitutes acceptance of the modified Terms.

As used in these Terms, “Affiliates” include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers.

2. Description of Services

The Site is a welcoming and inclusive dating platform designed to connect trans Pinay women with men who appreciate and respect them (the “Services”). Our mission is to foster genuine relationships by providing a safe, supportive environment where users can meet, interact, and build meaningful connections.

With advanced matching features, personalized recommendations, and a vibrant community, the Site empowers users to express themselves authentically and find compatible partners.

Safety and Security

We work hard to maintain the security, authenticity, integrity, and confidentiality of the Services. We use advanced AI tools and dedicated teams to detect misuse, harmful conduct, and policy violations. We may take action including removing content, restricting features, disabling accounts, notifying users, or contacting law enforcement.

We may access, preserve, use, and share information where required or permitted by law. See our Privacy Policy for details.

Modifications

We reserve the right to modify or discontinue the Site or any features at any time without notice. This includes changes to formatting, storage, pricing, paid services, or file size limitations.

Interruptions

Temporary interruptions may occur. We do not control third-party networks and therefore cannot be responsible for delays or disruptions.

All services are provided “AS IS” without responsibility for failed storage or delivery of content.

3. Registration Data and Privacy

To access the Site, you must create an account by providing accurate Registration Data. You agree to maintain and update this information to ensure accuracy.

Memberships

Access to certain features may require a paid membership. Your card will be billed monthly or according to your selected billing cycle. You will receive credits that may be used throughout the Site, but credits are not redeemable for cash.

You may cancel within three business days for a full refund. After that, memberships are non-refundable.

Age Verification

You must confirm your age and accept the Terms to access the Site. We use a third-party age verification service, Persona, to protect minors from accessing the platform.

You allow us to disclose Registration Data to third parties as necessary, subject to our Privacy Policy.

You cannot use the Site if you are under 18, a convicted sex offender, previously banned, or legally prohibited from accessing our services.

By registering, you warrant that your information is accurate, you comply with your local laws, and you have not been convicted of assault, violence, or sexual misconduct.

4. Account Suspension or Termination

We want the Site to be a place where people feel welcome and safe to express themselves.

If we determine, in our discretion, that you have clearly, seriously, or repeatedly breached our Terms or other policies, we may suspend or permanently disable your access to the Site, and we may permanently disable or delete your account. We may also disable or delete your account if you repeatedly infringe on others’ intellectual property rights or where we are required to do so for legal reasons.

We may disable or delete your account if it remains unconfirmed, unused, inactive for an extended period of time, or if we suspect unauthorized access and cannot verify ownership.

Where we take such action, we will notify you and explain any options available to request a review unless doing so:

would expose us or others to legal liability;
would harm our Site or users;
would interfere with the integrity of our systems;
is restricted by technical limitations; or

If you believe your account was disabled by mistake, you may contact us.

If your account is deleted or disabled, these Terms terminate between you and us, except for those provisions intended to survive termination.

Your use of the Site is subject to all applicable laws and regulations. You are solely responsible for your communications and posts on or through the Site. By posting information or using chat rooms, message boards, or interactive services, you agree not to upload, share, or distribute content that:

Is unlawful, threatening, abusive, harassing, defamatory, deceptive, invasive of privacy, tortious, explicit, or otherwise violates our policies;
Solicits sex, sexual behavior, sexual acts, explicit acts, or nudity;
Contains expletives or offensive, harassing, or alarming content;
Is pornographic, illegal, or offensive to human dignity;
Promotes violence, self-harm, racism, sexism, hatred, or bigotry;
Contains images of minors or individuals who appear to be minors, whether or not you are also in the image;
Involves commercial activities or impersonates others, including us or our Affiliates;
Shows another person’s image without their knowledge or consent;
Harasses or intimidates others based on protected characteristics;
Infringes intellectual property rights;
Is unauthorized advertising, spam, chain letters, or gambling;
Contains viruses or code that disrupts systems or accesses data without authorization.

We do not endorse or assume liability for content posted by users. We may not pre-screen user content but may remove content at our discretion that violates our Terms.

By posting, you agree:

You are responsible for ensuring your posted content complies with these Terms.
You are responsible for damages arising from non-compliant content.
We may remove content, restrict access, or disable your account without notice.
Your posted content is non-confidential and may be stored, used, or distributed by us or others.

You understand that you have no expectation of privacy regarding any content you post.

We may terminate your membership without notice if you violate these rules. We will fully cooperate with law enforcement agencies in investigating violations.

6. Third Party Sites and Information

This Site may link to other websites or contain references to materials from third parties. These external sites may contain content some users find inappropriate or offensive.

We are not responsible for:

the accuracy, legality, or decency of third-party content,
copyright compliance,

We also use third parties to support Site functionality:

ZegoCloud – enables chat, voice, and video communication.
XenDoo – manages user accounts.
WP Dating Plugin – manages credits, memberships, and Stripe payments.

Your use of these features is subject to each provider’s terms and policies.

7. Intellectual Property Information

“Content” includes information, text, software, photos, videos, graphics, music, sounds, and all material on the Site, including profiles, chats, and original content.

All Site content is protected by copyrights, trademarks, service marks, and other proprietary rights. You may only use content as expressly authorized. Unauthorized copying, modifying, uploading, posting, transmitting, or redistributing is prohibited.

Unauthorized use of materials may violate laws and result in civil or criminal penalties.

Custom graphics, icons, logos, and service names are trademarks of Wikman Ventures, LLC or its Affiliates.

8. User’s Materials

Subject to our Privacy Policy, any communication or material transmitted to us or the Site is treated as non-confidential and non-proprietary. You retain rights to such content, but grant us a perpetual, worldwide license to use, modify, and distribute it in any medium.

Do not submit confidential or proprietary information unless we have agreed in writing. We cannot accept unsolicited ideas or proposals.

Permissions You Give Us

To operate the Site, you grant us certain permissions, including:

Permission to use content you create.
You retain ownership but grant us a worldwide, royalty-free license to host, use, distribute, modify, run, copy, and display your content as necessary to operate and improve the Services.
Permission to use your name, profile image, and actions with ads.
We may display your profile name, picture, and interactions next to ads or commercial content shown to others you’ve permitted to see your actions.
Permission to update software.
If you download or use our software, you allow us to install updates.

You may delete content at any time, except when:

Other users have used or shared it (license continues until deleted),
Technical limitations delay deletion,
We must retain it to investigate violations or comply with legal obligations.

Copyright Use and Permissions

We respect intellectual property. If you believe your rights are infringed by Site content, provide a DMCA notice to our Designated Agent including:

Identification of the copyrighted work;
Contact information;
Identification of infringing material;
Statement of good faith belief of unauthorized use;

Limitations of Use of our Intellectual Property

You must obtain our written permission to modify, translate, create derivative works of, decompile, reverse engineer, or attempt to extract source code from our products.

9. Disclaimer of Warranties

ALL MATERIALS AND SERVICES ON THIS SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We assume no responsibility or liability for any part of such dealings.

13. Use of Site and Storage of Material

We may establish limits regarding use of the Services, including:

maximum number of days uploaded content is stored;
maximum disk space allotted to your account;
limits on access frequency or duration.

We are not responsible for deletion or failure to store any content. Accounts that have not paid subscription fees and remain inactive for extended periods may be logged off.

“Material” refers to all forms of content including text, graphics, images, video, and audio. We may remove material deemed unlawful or objectionable.

Excessive use of shared network resources may result in account suspension.

This Site is not intended as backup storage. You are responsible for keeping backups of your own data.

14. Security and Password

You are responsible for maintaining the confidentiality of your password and account. You are liable for any activities conducted under your account.

You may not transfer or share your account. Unauthorized sharing may result in immediate termination.

15. International Use

The Site may be accessible worldwide, but we make no representation that its content is appropriate outside the United States. Users accessing the Site from other locations do so voluntarily and must comply with local laws.

Any offer for products or services is void where prohibited.

16. Termination of Use

We may suspend or terminate your access to the Site at our discretion, with or without notice, for any reason including breach of these Terms.

Suspicious, fraudulent, abusive, or illegal activity may result in account termination and may be referred to law enforcement.

Upon termination, your right to use the Site ceases immediately. We may delete your account and files without liability.

Provisions intended to survive termination will continue to apply.

17. Governing Law; Venue

This Site is controlled by us from our offices in the State of Florida, USA. It can be accessed from all U.S. states and other countries whose laws may differ from those of Florida.

By accessing the Site, both you and we agree that the laws of the State of Florida — without regard to conflict of law principles — govern all matters related to use of the Site.

You and we agree to the exclusive jurisdiction and venue of:

The District Court of Miami-Dade County, Florida, and
The United States District Court for the Southern District of Florida.

18. Notices

All notices must be in writing and sent by email or conventional mail.

We may also broadcast notices through the Site; such broadcasts constitute official notice to you.

Notices are deemed delivered:

On the delivery date if personally delivered;

After five business days if mailed via U.S. postal service with return receipt;
On the date sent if delivered by confirmed fax or confirmed email.

19. Entire Agreement

These Terms constitute the entire agreement between you and us and supersede all prior understandings regarding the subject matter.

These Terms may not be altered or amended by the use of any other document unless a written agreement is signed by both parties.

If content on the Site conflicts with these Terms, these Terms take precedence.

20. Miscellaneous

Supplemental Terms

Some Services may be subject to supplemental terms. If supplemental terms apply, they will govern in the event of a conflict.

Username Changes

We may change your username when necessary — for example, if another user rightfully claims it.

Timeline for Disputes

Any cause of action you bring against us must be initiated within one (1) year after the claim arises or it is permanently barred.

No Assignment or Third-Party Beneficiaries

You may not assign your rights under these Terms. We may assign ours freely, including through merger, acquisition, or sale of assets. These Terms do not confer third-party beneficiary rights.

No Copying

You agree not to resell, reproduce, duplicate, or commercially exploit any part of the Site.

Force Majeure

We are not liable for delays or failures caused by events beyond our control, including natural disasters, war, labor disputes, pandemics, governmental actions, transportation issues, or other unforeseeable events.

Severability

If any portion of these Terms is deemed invalid, the remaining portions will remain in full force.

No Waiver

Failure to enforce any part of these Terms does not constitute a waiver of rights.

Reservation of Rights

We reserve all rights not expressly granted to you under these Terms.
